Welcome to AEIGS Digital Solutions. These Terms of Service (“Terms”) govern your access to and use of our website www.aeigs.com (the “Website”) and the services we provide (“Services”). By accessing our Website or engaging our Services, you (“you”, “Client”, or “user”) agree to be bound by these Terms. If you do not agree, please do not use our Website or Services.
In these Terms, “AEIGS”, “we”, “us”, and “our” refer to AEIGS Digital Solutions, based in Rajkot, Gujarat, India.
1. Acceptance of Terms
By accessing the Website, requesting a quote, or entering into a service agreement with us, you confirm that you are at least 18 years of age (or the age of legal majority in your jurisdiction) and have the legal authority to enter into a binding agreement. If you are using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Services
AEIGS provides digital technology services, which may include but are not limited to web development, mobile application development, custom software (such as ERP and CRM systems), AI and automation solutions, video production, UGC advertising, and related consulting and support.
The specific scope, deliverables, timelines, and pricing for any project will be defined in a separate proposal, quotation, or written agreement (“Project Agreement”) between AEIGS and the Client. In the event of any conflict between these Terms and a signed Project Agreement, the Project Agreement shall prevail.
3. Quotes, Pricing, and Payment
a) All quotes and estimates provided are valid for the period stated in the quote. Prices may be subject to revision if the project scope changes.
b) Unless otherwise agreed in writing, projects may require an advance payment or milestone-based payments before work begins or continues. Specific payment terms will be outlined in the Project Agreement.
c) Payments are due as per the agreed schedule. Late or non-payment may result in suspension of work, withholding of deliverables, or termination of the project.
d) All fees are exclusive of applicable taxes unless stated otherwise. The Client is responsible for any taxes, duties, or charges applicable to the Services.
4. Client Responsibilities
To enable us to deliver Services effectively, the Client agrees to:
- Provide accurate, complete, and timely information, content, and materials required for the project;
- Review deliverables and provide feedback within reasonable timeframes;
- Designate a point of contact authorized to make decisions and approvals;
- Ensure that any materials supplied to AEIGS do not infringe the rights of any third party.
Delays caused by the Client (such as late feedback or missing materials) may affect project timelines and are not the responsibility of AEIGS.
5. Revisions and Scope Changes
Each project includes a defined number of revisions as specified in the Project Agreement. Additional revisions, or requests that fall outside the originally agreed scope (“scope creep”), may incur additional charges and may affect the delivery timeline. Any such changes will be communicated and agreed upon before proceeding.
6. Intellectual Property
a) Upon full and final payment, ownership of the final deliverables created specifically for the Client will transfer to the Client, unless otherwise stated in the Project Agreement.
b) AEIGS retains ownership of any pre-existing tools, frameworks, libraries, source components, or methodologies used in delivering the Services. The Client is granted a license to use these as part of the delivered work.
c) Until full payment is received, all work, code, and materials remain the property of AEIGS.
d) Unless the Client requests otherwise in writing, AEIGS reserves the right to display completed work in its portfolio and marketing materials, in a manner that respects any agreed confidentiality.
7. Third-Party Services
Our Services may involve the use of third-party tools, platforms, hosting providers, plugins, APIs, or software. AEIGS is not responsible for the availability, performance, security, or terms of any third-party services. The Client is responsible for any subscription, licensing, or usage fees associated with such third-party services, unless otherwise agreed.
8. Confidentiality
Both parties agree to keep confidential any non-public information disclosed during the course of the engagement, and to use such information only for the purpose of fulfilling the project. This obligation survives the termination of the engagement.
9. Warranties and Disclaimers
a) AEIGS will perform Services with reasonable skill and care in line with industry standards.
b) Except as expressly stated, the Website and Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
c) AEIGS does not warrant that the Website or Services will be uninterrupted, error-free, or completely secure.
10. Limitation of Liability
To the maximum extent permitted by law, AEIGS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to the use of our Website or Services.
In no event shall the total aggregate liability of AEIGS exceed the total amount paid by the Client for the specific Services giving rise to the claim.
11. Termination
a) Either party may terminate a project as outlined in the Project Agreement, typically with written notice.
b) In the event of termination, the Client shall pay for all work completed up to the date of termination.
c) AEIGS reserves the right to suspend or terminate access to the Website or Services for any user who violates these Terms.
12. Indemnification
The Client agrees to indemnify and hold harmless AEIGS, its team, and partners from any claims, damages, liabilities, or expenses arising out of the Client’s misuse of the Services, breach of these Terms, or infringement of any third-party rights.
13. Force Majeure
AEIGS shall not be held liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, power outages, internet or hosting failures, government actions, or other unforeseen events.
14. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Rajkot, Gujarat, India.
15. Changes to These Terms
We may update or modify these Terms at any time. Any changes will be posted on this page with an updated “Last Updated” date. Your continued use of the Website or Services after changes are posted constitutes acceptance of the revised Terms.
