1. Introduction & Acceptance of Terms

Welcome to AEIGS Digital Solutions ("AEIGS", "we", "us", or "our"). These Terms of Service, along with our Privacy Policy and any agreed Statement of Work ("SOW"), govern your access to aeigs.com and any professional software engineering services provided by AEIGS.

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

2. Scope of Services

AEIGS provides custom technology engineering and digital solutions, including:

• Web Platforms & Applications: High-performance web applications, modern architectures, and full-stack software development.
• Mobile Engineering: Native and cross-platform mobile apps for iOS and Android.
• Applied AI & Automation: Production AI integrations, intelligent workflows, and DOM automation tools.
• Enterprise Systems: Distributed systems design, microservices, containerization, and database optimization.
• Cloud Architecture: Cloud infrastructure setup, Linux server administration, and automated CI/CD delivery pipelines.

Individual projects are executed under mutually agreed Statements of Work defining technical specifications, deliverables, milestones, and timelines.

3. Deliverables & Acceptance

Software milestones are delivered through private code repositories, staging sandboxes, or preview environments.

• Review Period: Following milestone delivery, the client has ten (10) business days to review and test the deliverables against agreed specifications.
• Feedback & Corrections: Any reproducible issues or defects reported in writing during this period will be promptly investigated and corrected by AEIGS.
• Milestone Sign-Off: Deliverables are deemed accepted upon written sign-off, commercial/production deployment, or upon expiration of the 10-day review period without written notice of defects.

4. Intellectual Property Rights

• Custom Work Product: Upon full and final payment of all invoiced milestone fees, all rights, title, and interest in custom, bespoke code engineered exclusively for the client are assigned to the client.
• AEIGS Background IP: Pre-existing libraries, developer boilerplates, core utilities, and internal frameworks developed prior to or independently of the project remain the property of AEIGS. AEIGS grants the client a perpetual, royalty-free license to use and modify such Background IP as integrated into the final deliverables.
• Open-Source Components: Open-source packages and dependencies incorporated into deliverables remain subject to their respective open-source licenses (such as MIT, Apache 2.0, or BSD).

5. Client Responsibilities

To ensure successful project delivery, the client agrees to:

• Provide necessary specifications, content, credentials, and API access in a timely manner;
• Designate an authorized representative for milestone reviews and technical communication;
• Warrant that all materials, designs, and data provided to AEIGS are owned by or properly licensed to the client.

6. Website Use & Acceptable Conduct

When using aeigs.com or our contact forms, you agree not to:

• Attempt unauthorized access to our administrative systems, servers, or networks;
• Inject malicious software, viruses, or disruptive scripts into our endpoints;
• Engage in denial-of-service (DoS) attacks, automated scraping, or unauthorized vulnerability scans;
• Misrepresent your identity or submit fraudulent inquiries.

7. Limitation of Liability

To the maximum extent permitted by applicable Indian law:

• The total cumulative liability of AEIGS Digital Solutions arising out of or related to an engagement or these Terms shall not exceed the total fees actually received by AEIGS under the specific Statement of Work giving rise to the claim during the three (3) months preceding the event.
• In no event shall AEIGS be liable for any indirect, incidental, special, or consequential damages, including loss of profits, lost revenue, lost data, or business interruption.

8. Bilateral Indemnification

• AEIGS Indemnity: AEIGS will defend and indemnify the client against direct claims asserting that custom code authored solely by AEIGS infringes an Indian registered copyright, excluding claims caused by client specifications or third-party code.
• Client Indemnity: The client agrees to defend and indemnify AEIGS against any claims arising from client-provided materials, client data, or the commercial/illegal operation of the software.

9. Confidentiality

Both parties agree to treat all proprietary technical blueprints, business plans, trade secrets, and non-public data exchanged during an engagement as strictly confidential. Neither party will disclose such information to third parties without prior written consent.

10. Termination

• Termination for Convenience: Either party may terminate an active engagement upon thirty (30) days prior written notice, subject to pro-rata payment for all engineering work performed up to the termination date.
• Termination for Cause: Either party may terminate immediately if the other party commits a material breach and fails to cure it within fifteen (15) days of written notice.

11. Governing Law & Jurisdiction

These Terms and all commercial engagements shall be governed by and construed in accordance with the laws of the Republic of India. In the event of any dispute, the parties will first seek amicable resolution. Any unresolved dispute shall be subject to the exclusive jurisdiction of the competent courts in Rajkot, Gujarat, India.
